1. Acceptance of these terms
These Terms of Service (“Terms”) are a binding agreement between you and Orbit Suite (“we,” “us,” or “our”). They govern your access to Orbit Suite and any related websites, dashboards, APIs, bots, and services that link to these Terms (together, the “Services”).
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Eligibility
You must be at least 13 years old and meet the minimum digital-consent age in your country to use the Services. If you are under the age of majority where you live, a parent or legal guardian must review and agree to these Terms. You may not use the Services if applicable law prohibits you from doing so.
3. Accounts and access
You must provide accurate information, keep your credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms.
Some accounts are created, invited, or managed by an organization or community administrator. Administrators may configure permissions, access account information and statistics, manage connected services, export data, and suspend or remove access. Your use may also be subject to that organization’s own rules.
4. Acceptable use
You may use the Services only in compliance with these Terms and applicable law. You may not:
- access another person’s account or data without authorization;
- upload, import, or disclose information you do not have the right to use;
- harass, threaten, impersonate, defraud, or violate the rights of others;
- probe, scan, or test vulnerabilities, bypass access controls, or interfere with service security;
- introduce malware, run abusive automation, overload the Services, scrape restricted information, or evade rate limits;
- reverse engineer or copy the Services except where applicable law expressly permits it;
- use the Services to build or train a competing product without our written permission;
- misrepresent dashboard statistics or use them to make unlawful, deceptive, or harmful decisions; or
- encourage or help anyone else do any of the above.
We may investigate suspected violations and limit access when reasonably necessary to protect the Services or others.
5. Your content and data
You retain ownership of content and data you submit to the Services (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and transmit Your Content only as necessary to operate, secure, improve, and provide the Services.
You represent that you have all rights and permissions needed for Your Content and our processing of it. You are responsible for reviewing reports and exports before relying on or sharing them. Statistics may be delayed, incomplete, or affected by source-platform availability and should not be treated as independently verified records.
Feedback you provide may be used without restriction or compensation, provided we do not identify you publicly without permission.
6. Third-party services
The Services may connect to or display information from third-party platforms. Those platforms are governed by their own terms and privacy policies. We do not control and are not responsible for third-party content, availability, security, or decisions to change or revoke API access. You are responsible for keeping connected accounts in good standing and following the third party’s rules.
We are not affiliated with or endorsed by any third-party platform merely because an integration is available.
7. Service availability and changes
We may add, remove, update, suspend, or discontinue features at any time. We may set usage limits and perform maintenance that temporarily affects availability. We will make reasonable efforts to provide notice of material changes when practical, but we do not guarantee uninterrupted or error-free operation.
If paid features are offered, applicable prices, billing cycles, renewal terms, refund rules, and taxes will be disclosed before purchase. Additional terms presented at purchase become part of these Terms.
8. Suspension and termination
You may stop using the Services at any time. You may request account deletion by contacting us, subject to organization controls, legal obligations, and our Privacy Policy.
We may suspend or terminate access if you materially or repeatedly violate these Terms, create risk or possible legal exposure, fail to pay applicable fees, or if continuing the Services is no longer commercially or technically feasible. Where appropriate, we will give notice and a reasonable opportunity to address the issue.
Terms that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnity, and dispute provisions—will remain in effect.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
We do not warrant that statistics, analytics, exports, recommendations, or third-party data will be complete, current, or error-free. The Services are informational tools and are not professional, legal, financial, employment, or safety advice. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
You understand and agree that you use the Services, connected integrations, reports, exports, and all information made available through them entirely at your own risk. You are solely responsible for independently reviewing information before relying on it or using it to make a decision.
10. Exclusion of monetary liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, [LEGAL NAME OR BUSINESS NAME], ORBITSUITE, AND EACH OF THEIR AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS (TOGETHER, THE “PROTECTED PARTIES”) WILL HAVE NO MONETARY LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
This exclusion applies to all claims and all forms of loss or damage, whether direct, indirect, incidental, special, consequential, exemplary, punitive, or otherwise, including loss of profits, revenue, business, opportunities, goodwill, use, or data; service interruptions; inaccurate or incomplete statistics; unauthorized access; third-party conduct; and the cost of replacement services. It applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, statute, or otherwise, even if a Protected Party was advised that the loss or damage was possible and even if a remedy fails of its essential purpose.
Your sole and exclusive remedy for dissatisfaction with, or any loss or damage arising from, the Services is to stop using the Services and terminate your account. You knowingly and voluntarily assume the risks associated with using the Services, including reliance on information supplied by third parties or generated from third-party data.
If applicable law does not permit a complete exclusion of monetary liability, the Protected Parties’ total aggregate liability for all claims arising out of or related to the Services or these Terms will be limited to the lowest amount that applicable law permits. Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.
11. Indemnification
To the extent permitted by law, if you use the Services on behalf of an organization, you agree to defend, indemnify, and hold us harmless from claims, damages, losses, and reasonable costs arising from that organization’s use of the Services, Your Content, or violation of these Terms or another person’s rights.
12. Governing law and disputes
These Terms are governed by the laws of Nova Scotia, Canada, without regard to conflict-of-law principles. Any dispute that is not resolved informally will be brought exclusively in the courts located in Halifax, Nova Scotia, Canada, and you consent to their jurisdiction, unless consumer-protection law requires otherwise.
Before filing a claim, you and we agree to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice. Nothing in this section prevents either party from seeking urgent injunctive relief or bringing an eligible claim in small claims court.
13. Changes to these terms
We may update these Terms from time to time. We will post the revised Terms with a new effective date and provide additional notice of material changes when required. If you continue using the Services after revised Terms take effect, you accept them. If you do not agree, you must stop using the Services.
14. General terms
These Terms and any incorporated policies are the entire agreement between you and us regarding the Services. If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets.
